Terms of Engagement

Definitions

In these Terms of Engagement, the following definitions apply:

Scope of Services

Renov8 Consultancy offers the following services. The specific service or services to be provided will be confirmed in the Fee Proposal issued to the Client prior to commencement. Each service is provided as a standalone appointment unless otherwise agreed in writing.

Any services not described above — including site visits, contractor negotiations, contract administration or project management — fall outside the scope of these terms and would require a separate written agreement.

Fees and Payment

Fees are as set out in the Fee Proposal. All fees are quoted exclusive of VAT. Where VAT is applicable it will be charged at the prevailing rate and shown separately.

Payment is accepted by bank transfer or online payment platform as directed by Renov8 Consultancy. Work will not commence until cleared funds have been received.

Where the scope of services changes materially from that agreed in the Fee Proposal, Renov8 Consultancy reserves the right to issue a revised fee. Any revised fee will be agreed in writing before additional work commences.

In the event of late payment, Renov8 Consultancy reserves the right to suspend delivery of Deliverables and to charge interest on overdue amounts at 8% per annum above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

Client Obligations

The quality and accuracy of Deliverables is dependent on the information supplied by the Client. The Client agrees to:

• Provide accurate, complete and up-to-date information relevant to the agreed scope of services
• Supply photographic information of adequate quality and coverage to allow a meaningful assessment
• Respond promptly to any requests for clarification or additional information
• Notify Renov8 Consultancy promptly of any changes to the project scope or brief
• Not share Deliverables with third parties for commercial purposes without prior written consent

Renov8 Consultancy accepts no liability for inaccuracies in Deliverables arising from incomplete, misleading or incorrect information provided by the Client.

Basis and Limitations of Advice

All cost advice provided by Renov8 Consultancy is based on current market conditions, the information available at the time of preparation, and the professional judgement of the consultant. The Client acknowledges and accepts the following:

• Cost estimates and cost plans represent informed professional opinions and are not guarantees of final outturn cost
• Actual construction costs may vary from those stated due to market conditions, contractor pricing, site conditions, specification changes or unforeseen works
• Where services are based on photographic information, no structural survey or intrusive investigation has been carried out. Hidden defects or hazardous materials may materially affect actual costs
• Cost information is current at the time of preparation and may become outdated if a significant period elapses before contractor procurement
• Renov8 Consultancy does not act as a project manager, contract administrator or principal designer — these services are not included within any Appointment
• Programmes are indicative only and subject to contractor confirmation

Liability

Renov8 Consultancy shall exercise reasonable professional skill and care in the provision of all services. To the fullest extent permitted by law:

• Renov8 Consultancy's total liability to the Client shall not exceed the total fees paid by the Client for the relevant service
• Renov8 Consultancy shall not be liable for any indirect, consequential or economic loss, including loss of profit or loss arising from decisions made in reliance on any Deliverable
• Renov8 Consultancy shall not be liable for costs or delays arising from third-party actions including contractor performance, planning decisions or utility company delays
• The Client is responsible for verifying all information in Deliverables before acting upon it and for obtaining appropriate independent professional advice

Nothing in these Terms of Engagement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other matter which cannot be excluded or limited by law.

Professional Indemnity Insurance

Renov8 Consultancy maintains professional indemnity insurance appropriate to the scale and nature of services provided. Details of current insurance coverage are available on request. The Client is advised to maintain their own appropriate insurances in connection with any renovation or construction project.

Intellectual Property

All Deliverables, reports, cost plans, programmes and other documents produced by Renov8 Consultancy remain the intellectual property of Renov8 Consultancy until all fees relating to the relevant Appointment have been paid in full.

Upon receipt of full payment, the Client is granted a non-exclusive licence to use the Deliverables for the purposes of the project to which they relate. The Client may not reproduce, republish or share Deliverables for commercial purposes without the prior written consent of Renov8 Consultancy.

Confidentiality

Both parties agree to keep confidential all information shared in connection with an Appointment that is reasonably identifiable as confidential, including property details, financial information and project specifics. This obligation shall survive the termination of any Appointment.

Renov8 Consultancy may reference completed projects in its marketing materials on an anonymised basis. No personally identifiable information will be shared without the prior written consent of the Client.

Data Protection

Renov8 Consultancy will process personal data provided by the Client in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Personal data will be used solely for the purposes of providing the agreed services and will not be shared with third parties except as required to deliver those services or as required by law.

The Client has the right to request access to, correction of, or deletion of their personal data at any time by contacting hello@renov8consultancy.co.uk.

Termination

Either party may terminate an Appointment by giving written notice to the other. In the event of termination:

• The Client shall pay for all work completed up to the date of termination, calculated on a pro-rata basis against the agreed fee
• Where a deposit has been paid and work has not yet commenced, the deposit will be refunded in full within 10 working days
• Where work is partially complete, fees will be apportioned to reflect the proportion of the Deliverable completed. Any balance owed to the Client will be refunded; any balance owed to Renov8 Consultancy will be invoiced
• Renov8 Consultancy reserves the right to terminate an Appointment immediately where the Client has provided materially false or misleading information, or where the Client's conduct makes continued engagement unreasonable

Complaints and Dispute Resolution

Renov8 Consultancy is committed to providing a high quality service. If you are dissatisfied with any aspect of the service received, please contact us in the first instance at hello@renov8consultancy.co.uk, setting out the nature of your concern in writing.

We will acknowledge any written complaint within 3 working days and aim to provide a substantive response within 10 working days.

Where a complaint cannot be resolved directly, both parties agree to attempt mediation before commencing any legal proceedings. These Terms of Engagement are governed by and construed in accordance with the law of England and Wales, and both parties submit to the exclusive jurisdiction of the courts of England and Wales.
